These terms and conditions ("Terms") are a legal contract between you and Doco LLC, a California Limited Liability Company, Doing Business As PWServerList ("Doco LLC", "PWServerList", "pwserverlist.com", "Us", "We", or "Our"). The terms explain how you are permitted to use the PWServerList website (the "Website") and any other services provided by PWServerList (including the Website, the "Services" or "Platform"). Please read and understand these terms completely. By using the website, services, and platform, you are agreeing to the following terms. If you do not agree with them, do not access or otherwise use the services provided by PWServerList. PWServerList reserves the right, in sole discretion, to make changes to these Terms at any time. If PWServerList makes any substantial changes to these Terms ("substantial" as determined in our sole discretion), you will be notified when you visit the Website, and will be given an opportunity to review the new Terms before you continue to use the website.

By using PWServerList after the terms have been changed, you are agreeing to the updated Terms. If you do not agree with them, you must immediately stop using PWServerList's Services. By using our services, you agree that you are at least 13 years of age, and if under 18 years of age (a "Minor"), you have received your parent's or legal guardian's permission. If you are the parent or legal guardian of a minor, you hereby agree to bind the minor to these terms and hold harmlessness to PWServerList if any of these terms are breached by the Minor.

If you are under 13 years of age, you may not use the services at any time or in any manner.

PWServerList provides content through our services that is copyrighted and/or trademarked work of PWServerList. This content (the "Materials") may include logos, videos, images, the Website, and other content.

Subject to these terms, as well as your compliance with these terms, PWServerList hereby grants you a limited, non-exclusive, and non-commercial license to use and display the materials and services solely for non-commercial use. Except for the foregoing license, you have no other rights to the Services or Materials, and may not modify, edit, alter, enhance, copy, reproduce, or in any way exploit any of the Services or Materials in any way.

If you breach any of these terms, the above license will terminate automatically, and you must immediately destroy any downloaded, printed, copied, or published materials. If you would like to register for an account with PWServerList to use our services, you must agree to allow PWServerList to gather your your personal information; if you do not, the PWServerList Website will not function. If you do not agree to this collection, you should not use or otherwise access PWServerList or the Platform.

You will be required to submit your name and contact information. We will also generate or collect a unique identifier for you, which will serve as your user ID.

You must be at least 13 years of age to register. If you are a minor, you must have your parent's or legal guardian's permission before registering. If you are under 13 years of age, you may not register for or otherwise use our services. You are solely responsible for maintaining the confidentiality of your account password, and are solely responsible for any and all activities that occur on your account. You, and not PWServerList, are solely liable for any loss that you may incur as a result of someone else accessing your password or account, with or without your knowledge.

To the fullest extent permitted by law, in no event shall PWServerList be liable for any direct, indirect, special, consequential, or other damages (including attorneys fees and costs of defense) arising from or as a result of the activities that take place on your account.

If you are registering on behalf of your company, you represent and warrant that you are authorized by your company to create an account on your company’s behalf and you represent and warrant that you are authorized by your company to enter into legally binding agreements on behalf of your company. You agree that all officers, employees, agents, representatives and others having access to the username and/or password shall be vested by you with the authority to use the Platform and to legally bind you. You shall be responsible for all actions by current and former officers, employees, agents, representatives and others, regardless of whether authorized by you, that access the Services using your username and password. YOU ASSUME THE ENTIRE RISK FOR THE FRAUDULENT, UNAUTHORIZED OR OTHERWISE IMPROPER USE OF YOUR PASSWORD. WE SHALL BE ENTITLED TO RELY ON THE GENUINENESS AND AUTHORITY OF ALL INSTRUCTIONS RECEIVED BY US WHEN ACCOMPANIED BY SUCH PASSWORD, AND TO ACT ON SUCH INSTRUCTIONS. When using our Platform, you are responsible for your and for any use of PWServerList made using your account and for your use of any services provided. You agree to the following: You may not (i) modify, disassemble, reverse engineer, or decompile the Platform, except to the extent that such restriction is expressly prohibited by law; (ii) make any copies of the Platform; (iii) rent, lease, loan, resell, or sublicense the Platform to any third-party; (iv) remove, disable, damage, circumvent, or in any other way interfere with security-related features of the Platform; or (v) edit the Platform in any way, except to the extent that such restriction is expressly prohibited by law. By registering for our services, you consent to receiving electronic communications from PWServerList. These electronic communications may include information concerning or related to the Services or the Website. You agree that any notices, disclosures, agreements, or any other communications that PWServerList may send you electronically will satisfy any legal communication requirements, including but not limited to, any legal requirement that such communications be in writing. You are solely responsible for any information, opinions, messages, comments, photos, videos, graphics, sounds, and any other content or materials that you submit, upload, or make available through the services (each being a "Submission"). We reserve the right to retain your submissions, even after they have been deleted or otherwise hidden. However, you agree that we have no obligation to retain any Submission for any period of time, nor shall we be liable to you or any other third-party for any lost content or losses related to the deletion of a submission.

You may not upload, post, or otherwise make available on the services any material that is copyrighted, trademarked, or otherwise protected by law without the express permission of the owner of such copyright, trademark, or content protection by law. You agree that the burden of determining whether any material is protected by any such right is on you. You shall be solely liable for any damage resulting from infringement of copyrights, trademarks, proprietary rights, contract violations, privacy or publicity rights, or any other harm resulting from any submission that you make. You have full responsibility for each submission you make, including its reliability, appropriateness, and legality.

Unless otherwise explicitly stated herein or in the PWServerList Privacy Policy ("Privacy Policy", found at http://pwserverlist.com/privacy), you agree that any submission provided by you in connection with the services or provided on a non-proprietary, non-confidential basis. You hereby grant PWServerList a non-exclusive, perpetual, irrevocable, royalty-free, fully paid-up, worldwide license (including the right to sublicense through multiple tiers) to use, reproduce, process, adapt, publicly preform, publicly display, modify, publish, transmit and distribute each of your submissions, or any portion thereof, in any form, medium, or distribution method, and authorize others to use the submissions. We may modify or adapt your submissions in order to transmit, display, or distribute them over computer networks and in various medias and/or to make changes to the submissions as necessary to conform and adapt them to any requirements or limitations of any networks, devices, services, or medias.

You agree to pay for all royalties, fees, damages, and any other money you owe any other third-party by reason of any submission posted by you to or though the services. When you provide submissions, you agree that those submissions shall not be in violation of the "Unauthorized Activities" paragraph below. Those prohibitions do not require PWServerList to monitor, police, or remove any submissions or other information submitted by you or any other user.

You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify PWServerList for all claims resulting from content you supply. PWServerList has the right, but not the obligation, to monitor and edit or remove any activity or content, but does not regularly review Submissions. PWServerList takes no responsibility and assumes no liability for any content posted by you or any third party. You acknowledge and agree to comply with all applicable export Laws, including the U.S. Export Administration Act, the Arms Export Control Act, the International Economic Emergency Powers Act, and the Foreign Corrupt Practices Act; and regulations issued pursuant to these and other U.S. Laws.

You hereby represent and warrant that any Product Promoted, offered and/or provided by You via the Platform is approved for export from the United States without additional authorization or licensing from the U.S. government. Should the export authorization status of Your Products change, You must immediately notify PWServerList in writing.

Information on U.S. export control regulations can be found on the Commerce Department's website at http://www.bis.doc.gov, the State Department's website at http://www.pmddtc.state.gov and the U.S. Treasury Department's website at http://www.treas.gov/offices/enforcement/ofac/index.shtml. When using the Platform, you agree to the following:

• You may not defame, abuse, harass, threaten, stalk, bully, or otherwise violate the legal rights of others;
• You may not Use racially or ethnically offensive language;
• You may not Be racist, homophobic, or for any other reason bully, harass, or abuse others because of their race, ethnicity, or sexuality;
• You may not Discuss, incite, or encourage illegal activity;
• You may not Post anything that is sexually explicit, vulgar, excessively violent, containing gore, or is traumatic or horrific;
• You may not Post anything that depicts cruelty to animals;
• You may not post anything that is copyrighted, trademarked, or otherwise protected by law without express permission from the owner of such copyright, trademark, or content protection by law, except to the extent that such restriction is expressly prohibited by law;
• You may not impersonate any person or entity or misrepresent your affiliation with a person or entity;
• You may not Disseminate any unsolicited or unauthorized advertising, including but not limited to promotional materials, 'junk mail', 'spam', 'chain letters', 'pyramid schemes', affiliate marketing, or any other forms of such soliciting;
• You may not Use a robot, spider, scraper, or any other automated means to access our services;
• You may not copy, distribute or disclose any part of the Platform in any medium, including without limitation by any automated or non-automated “scraping”;
• You may not use the Platform on a computer that is used to operate nuclear facilities, life support, or other mission critical applications where life or property may be at stake;
• You may not take any action that imposes, at our sole discretion, an unreasonable or disproportionately large load on our infrastructure; and
• You agree that you will not hold PWServerList responsible for your use of the Platform.

This list of prohibitions provides examples and is not complete or exclusive. We reserve the right to (a) terminate access to your account, your ability to post or otherwise interact with our services for any or no reason, (b) refuse, delete, remove, or hide any submissions, with or without cause and with or without notice, for any or no reason, or for any action that we determine is inappropriate or disruptive to our services or the users of our services, and (c) terminate any Hosted Website(s) and associated Submissions, with or without cause and with or without notice. PWServerList may suspend, disable, or delete your account (or any part thereof) or block or remove any content you submit to PWServerList via the Platform, including but not limited to your payment links, if PWServerList determines that you have violated any provision of these Terms of Service, or for any other reason determined under PWServerList's sole discresion. If PWServerList disables or deletes your account for the foregoing reasons, you may not create a new account on the Platform. PWServerList may block your e-mail address and Internet protocol address to prevent further registration and account creation.

Upon termination, all licenses granted by PWServerList will terminate. In the event of account deletion for any reason, content that you submitted may no longer be available. PWServerList shall not be responsible for the loss of such content, nor shall PWServerList be responsible for any costs or losses associated with terminated licenses.

In addition, upon termination, the entire balance of the account may be lost. PWServerList is under no responsibility to make payments to, or provide compensation, monetary or not, to any users whose account has been terminated. For this reason, we recommend that you transfer any balances you hold to your bank account as frequently as possible, or set up automatic transfers. PWServerList may report to law enforcement authorities any actions that may be illegal, and any reports we receive of such conduct. When legally required to or at our discretion, PWServerList will cooperate with law enforcement agencies in any investigation of alleged illegal activities on our services, or on the internet.

Unauthorized use of any of our materials or third-party content contained in our services may violate certain laws and regulations. You agree indemnify and hold PWServerList and its owners, officers, affiliates, agents, licensors, and business partners harmless from and against any and all claims, costs, damages, liabilities, losses, debts, and expenses (including but not limited to attorneys fees and costs of defense) PWServerList or any other indemnified party suffers in relation to, arising from, or for the purpose of avoiding, any claim or demand from a third-party that your use of our services or the use of our services by any person using your username and/or password (including, but not limited to, your participation in the posting areas or your submissions) violates any applicable law or regulation, or the copyrights, trademark rights or other rights of any third-party. You agree indemnify and hold PWServerList and its owners, officers, affiliates, agents, licensors, and business partners harmless from and against any and all claims, costs, damages, liabilities, losses, debts, and expenses (including but not limited to attorneys fees and costs of defense) arising from:

• your use of and access to PWServerList Platform including any services;
• your use of and access to any Resources that you downloaded from, or discovered on, the PWServerList Platform;
• your violation of any term of this Agreement;
• your interactions with any other uses or third parties; or
• your violation of any third party right, including without limitation any copyright, property, or contractual right.

This defense and indemnification obligation will survive this Agreement and your use of PWServerList Platform. You also agree that you have a duty to defend us against such claims and we may require you to pay for attorney(s) of our choice in such cases. You agree that this indemnity extends to requiring you to pay for our reasonable attorneys’ fees, court costs, and disbursements. In the event of a claim such as one described in this paragraph, we may elect to settle with the party/parties making the claim and you shall be liable for the damages as though we had proceeded with a trial. We do not guarantee that the Platform will always be available, work, or be accessible at any particular time. Additionally, PWServerList is under no obligation to provide the services to any users and may suspend a user’s access to the Platform at any time and at our discretion.

Only users who are eligible to use our Platform may do so and we may refuse service or terminate your access at any time. We cannot guarantee that anything found on our Platform will work to the functionality desired by you or give you any desired results. In the event that PWServerList becomes unavailable, with or without notice, for any amount of time, including indefinitely, you agree to hold harmless to PWServerList and its owners, officers, affiliates, agents, licensors, and business partners, for any and all losses, debts, or expenses (including but not limited to loss of profits and/or revenue) that you may suffer from the Platform not being available.

PWServerList is under no obligation to provide the platform, and may discontinue the platform at any time, with or without notice. You hereby authorize us, directly or through third parties, to make any inquiries we consider necessary to validate your identity and/or authenticate your identity, account information, and your company or employer. By opening a business account, you are providing us with written instructions and authorization in accordance with the Fair Credit Reporting Act to obtain your personal and/or business credit report from a credit bureau. You are also authorizing us to obtain your personal and/or business credit report when you upgrade your personal account to a business account, or at any time we reasonably believe there may be an increased level of risk associated with your account. An increased level of risk includes, but is not limited to, a high number of chargebacks or reversals, or suspicious activity associated with your account. Portions of the Platform or specific services offered may require payment and you agree to pay for all costs, fees, and taxes listed. You authorize PWServerList or its third party payment processors to charge your method of payment at the time of purchase.

Please be aware that purchases are completed via our third party payment processors. Where applicable, you must agree to our third party payment processors terms and conditions for processing payments. All information that you provide in connection with a purchase or transaction must be accurate, complete, and current. Where you have failed to pay or where payments are overdue, PWServerList may suspend or terminate your access to any services of the Platform, without liability to us. PWSERVERLIST AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE PWSERVERLIST WEBSITE AND PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. NEITHER PWSERVERLIST, NOR ANY OF ITS EMPLOYEES, MANAGERS, OFFICERS, ASSIGNS OR AGENTS, MAKE ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE PWSERVERLIST WEBSITE OR PLATFORM, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE PWSERVERLIST PLATFORM. YOU EXPRESSLY AGREE THAT YOUR USE OF THE PWSERVERLIST WEBSITE AND PLATFORM IS AT YOUR SOLE RISK.

TO THE FULL EXTENT PERMISSIBLE BY LAW, PWSERVERLIST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND LOST PROFITS. PWSERVERLIST DOES NOT WARRANT THAT THE PWSERVERLIST PLATFORM, INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE PWSERVERLIST PLATFORM, PWSERVERLIST'S SERVERS, OR ELECTRONIC COMMUNICATIONS SENT FROM PWSERVERLIST, ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TO THE FULL EXTENT PERMISSIBLE BY LAW, PWSERVERLIST WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF ANY PWSERVERLIST SERVICE, OR FROM ANY INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH ANY PWSERVERLIST SERVICE, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES, UNLESS OTHERWISE SPECIFIED IN WRITING.

PWSERVERLIST DOES NOT REPRESENT OR WARRANT THAT THE PLATFORM INCLUDING THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED; THAT DEFECTS WILL BE CORRECTED; OR THAT THE PLATFORM OR THE SERVER THAT MAKES THE PLATFORM AVAILABLE IS FREE FROM ANY HARMFUL COMPONENTS. PWSERVERLIST DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES THAT THE SERVICES OFFERED ARE ACCURATE, COMPLETE, OR USEFUL. PWSERVERLIST DOES NOT WARRANT THAT YOUR USE OF THE PLATFORM IS LAWFUL IN ANY PARTICULAR JURISDICTION, AND PWSERVERLIST SPECIFICALLY DISCLAIMS ANY SUCH WARRANTIES. This Agreement must be interpreted and governed by the law of the United States of America as applicable. If a dispute arises in relation to this Agreement, it must be subject to the exclusive jurisdiction of the courts of the United States of America. In the event that a provision of this Agreement is found to be unlawful, conflicting with another provision of the Agreement, or otherwise unenforceable, the Agreement will remain in force as though it had been entered into without that unenforceable provision being included in it.

If two or more provisions of this Agreement or any other agreement you may have with PWServerList are deemed to conflict with each other’s operation, PWServerList shall have the sole right to elect which provision remains in force.

PWServerList's failure to insist upon or enforce strict performance of any provision of these Terms will not be construed as a waiver of any provision or right. Please review the PWServerList Privacy policy, available at https://pwserverlist.com/privacy, which explains how we use information that we collect about you. By using our services, you agree that we may use and disclose the information we collect about you as stated in the privacy policy. Without limiting the foregoing, you expressly acknowledge that any submissions or other information that you submit to our services may be viewable by all other users of our services and any third party.
